Terms of Service

Languages. These Terms are published in English and Spanish; both versions are equally authoritative. Translations into other languages are provided for convenience and do not modify your legal rights or obligations. Mandatory consumer-protection law of your country of residence applies regardless of the language version.
These Terms of Service ("Terms") govern your use of Overslash (https://overslash.com, https://app.overslash.com — the "Service"), provided by Overspiral S.L. ("Overspiral", "we", "us").
By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service
Overslash is an actions-and-authentication gateway that mediates between AI agents (and the humans behind them) and the third-party services those agents need to act on (Google Workspace, Google Docs, Google Drive, Gmail, and others we add over time). You can self-host Overslash from source, or use Overslash Cloud, the hosted version operated by Overspiral.
3. Eligibility and accounts
You must be at least 18 years old (or the age of majority where you live) and have the legal capacity to enter into a binding contract. You agree to:
- provide accurate registration information and keep it current;
- keep your credentials confidential and not share your account;
- be responsible for everything that happens under your account, including actions taken by AI agents you have authorised.
4. Plans, pricing, and billing
Current plans and prices are listed at https://overslash.com/#pricing. Unless stated otherwise:
- Paid subscriptions renew automatically for successive billing periods until cancelled.
- You can cancel any time from your account; cancellation takes effect at the end of the current paid period.
- Prices are exclusive of taxes. We collect VAT where required (EU consumers via the OSS scheme; EU business customers under reverse charge with a valid VAT ID; non-EU customers per applicable place-of-supply rules).
- Payments are processed by Stripe; their terms apply to the payment transaction itself.
5. Consumer right of withdrawal (EU)
If you are an EU consumer (acting outside your trade, business, or profession), you have the right to withdraw from this contract within 14 days without giving any reason. However, by signing up to a paid plan and beginning to use the Service immediately, you expressly request that the Service be supplied during the withdrawal period and acknowledge that you will lose your right of withdrawal once the Service has been fully performed. For partial use during the withdrawal period we may charge a proportional amount.

6. Acceptable use
You may use Overslash for any lawful purpose, including connecting it to your own systems, redistributing it under its source-available licence, and studying, modifying, or reverse-engineering the source code — Overslash is source-available by design and we encourage that.
You must not, however:
- (a) Endanger the shared Google OAuth client or any other shared authentication credential operated by Overspiral on behalf of all Cloud users — for example by triggering scope-abuse signals, bulk-spamming through Gmail, impersonating Overslash to end users, or any pattern that could cause Google (or another upstream) to suspend the shared client.
- (b) Engage in conduct that could put Overslash Cloud's IP addresses, domains, or sender reputation on a blacklist — including but not limited to mass unsolicited messaging, scraping in violation of robots policies, brute-forcing, port-scanning, or sustained abusive traffic toward third parties.
- (c) Violate the terms or acceptable-use policy of any third-party service you connect through Overslash Cloud (Google, etc.). When you act through our gateway, you also act through their terms, and we will enforce those terms with respect to your use of our infrastructure.
- (d) Use the Service to transmit malware, phishing content, or material that is illegal under Spanish or EU law, or under the law of the jurisdiction the recipient is in.
- (e) Attempt to disrupt the Service, evade rate limits, or access data that does not belong to you.
We will act liberally and pre-emptively to protect Overslash Cloud, our shared OAuth credentials, and our IP reputation. We may rate-limit, suspend, or terminate accounts engaged in conduct under (a)–(e) without prior notice where the risk to other users justifies it. We will notify you as soon as reasonably possible after any such action and explain the reason.
If you self-host Overslash, only sections (d)–(e) apply to you with respect to our infrastructure (since you are not using our shared credentials); your use of the source code itself is governed by its open licence.
7. Your content and your delegations
You retain all rights to the data you bring to the Service and to the third-party accounts you connect. You grant Overspiral a limited, non-exclusive licence to host, process, and transmit that data solely to operate the Service for you, including enforcing the policies you configure and producing the audit trail you have requested.
Authorisations you grant to AI agents through Overslash are revocable at any time from your account.
8. Intellectual property and licence
The Overslash software is source-available under the licence published in the project repository (https://github.com/overfolder/overslash). The Overslash and Overspiral names, logos, and brand assets are trademarks of Overspiral S.L. and are not licensed by these Terms — see the brand guidelines in the repository or contact us for permitted use.
9. Service availability, beta features, "as is"
The Service is currently in public beta. We aim for high availability but do not commit to a formal SLA at this stage. Beta features may change or be removed with little notice. To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind.
This does not exclude or limit warranties or rights that cannot be excluded under mandatory law applicable to you (in particular, statutory consumer-protection rights for EU consumers and any liability for fraud, gross negligence, or willful misconduct).
10. Limitation of liability
To the maximum extent permitted by applicable law, Overspiral's total aggregate liability arising out of or related to the Service in any 12-month period is limited to the fees you have actually paid us during that period. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised of the possibility.
The above limitations do not apply to liability that cannot be limited under mandatory law (in particular for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or non-excludable consumer-law liability).
11. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms (including the Acceptable Use rules above), if required by law, or if your account poses a risk to the Service or to other users. On termination we will delete or return your data in accordance with the Privacy Policy and applicable law.
12. Changes to the Service or to these Terms
We may modify the Service and these Terms over time. Material changes will be notified to active users by email and/or in-app notice at least 14 days before taking effect. If you do not agree with the change you may close your account before it takes effect; continued use after the effective date constitutes acceptance.
13. Governing law and jurisdiction
These Terms are governed by the laws of Spain, excluding its conflict-of-laws rules. Any dispute will be submitted to the courts of Madrid, Spain.
If you are a consumer habitually resident in the European Union, this clause does not deprive you of the protection of mandatory provisions of consumer-protection law of your country of residence, and you may also bring proceedings in the courts of your country of residence.

14. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any plan-specific documents you accept, are the entire agreement between you and Overspiral about the Service.
- Severability. If any provision is held unenforceable, the rest remains in force.
- No waiver. A failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a corporate transaction.
